1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Codimite (Pvt) Ltd (“Company,” “we,” “us,” or “our”), governing your access to and use of the CommandLyne platform, website (commandlyne.ai), and all related services (collectively, the “Services”).

By accessing or using CommandLyne, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Services.

2. Eligibility

CommandLyne is an enterprise-grade platform intended for business and organizational use. By using the Services, you represent and warrant that:

• You are at least 18 years of age
• You have the legal authority to enter into these Terms on behalf of your organization
• Your use of the Services complies with all applicable laws and regulations
• If you are accepting these Terms on behalf of a company or other entity, you have the authority to bind that entity to these Terms

3. Description of Services

CommandLyne is Codimite's enterprise-grade OpenClaw distribution, hosted on Google Cloud Platform. The platform provides:

• Personal AI assistant capabilities for individual productivity
• Workflow automation engine for automating routine operations
• Governed agent runtime with fully controlled, isolated environments
• Collaborative AI workspace with role-based access controls
• AI infrastructure control plane for centralized management
• Seamless enterprise integrations with third-party tools and services

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with reasonable prior notice to active subscribers.

4. Account Registration & Security

To access the Services, you must create an account and provide accurate, current, and complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use or security breach
• Ensuring that your administrator manages user access and permissions appropriately within your organization

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe pose a security risk.

5. Acceptable Use Policy

You agree not to use the Services to:

• Violate any applicable law, regulation, or third-party rights
• Generate, distribute, or store content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Attempt to gain unauthorized access to any part of the Services or related systems
• Reverse engineer, decompile, or disassemble any part of the platform
• Use AI agents to automate activities that violate laws, regulations, or ethical standards
• Interfere with or disrupt the integrity or performance of the Services
• Use the Services to develop competitive products or services
• Circumvent or disable any security features, access controls, or usage limitations of the platform
• Upload or transmit viruses, malware, or other malicious code

We reserve the right to investigate and take appropriate action against any violations, including suspending or terminating access to the Services.

6. Intellectual Property Rights

Our Property: The CommandLyne platform, including its software, design, features, content, trademarks, logos, and documentation, is owned by Codimite and protected by intellectual property laws. Nothing in these Terms grants you any right to use the CommandLyne name, logo, or branding without our prior written consent.

Your Content: You retain ownership of all data, content, AI agent configurations, and workflow definitions you create or upload to the platform (“Your Content”). By using the Services, you grant us a limited, non-exclusive license to process Your Content solely to provide and operate the Services on your behalf.

Feedback: If you provide suggestions, feedback, or ideas regarding the Services, you grant us a non-exclusive, royalty-free, perpetual license to use such feedback to improve our products without any obligation to you.

7. Fees & Payment

Certain features of CommandLyne may require a paid subscription. If applicable:

• Fees are based on the subscription plan selected and are billed in advance
• All fees are non-refundable unless otherwise stated or required by law
• We may change pricing with at least 30 days' prior notice before the next billing cycle
• You are responsible for all applicable taxes associated with your use of the Services
• Failure to pay may result in suspension or termination of your access to the Services

8. Data Protection & Privacy

Your use of the Services is subject to our Privacy Policy, which describes how we collect, use, and protect your information. Key data protection principles include:

• All data is encrypted at rest and in transit using industry-standard protocols
• AI agents operate within governed, isolated runtime environments
• Role-based access controls ensure data segregation between users
• Comprehensive audit logging is maintained for compliance purposes
• Data is hosted on Google Cloud Platform with enterprise-grade certifications

9. Third-Party Integrations

CommandLyne allows integration with third-party tools and services. When you connect third-party services:

• You are responsible for reviewing and agreeing to the third party's terms and privacy policies
• We are not liable for the availability, accuracy, or practices of third-party services
• Your use of third-party integrations is at your own risk and subject to the applicable third-party terms
• You must ensure that any data shared through integrations complies with your organization's policies and applicable laws

10. Service Availability & Support

We strive to maintain high availability of the Services but do not guarantee uninterrupted access. The Services may be temporarily unavailable due to:

• Scheduled maintenance (with advance notice when possible)
• Emergency patches or security updates
• Circumstances beyond our reasonable control (force majeure)

Customer support is available according to your subscription plan. Enterprise customers may be entitled to dedicated support channels and service level agreements (SLAs) as specified in separate agreements.

11. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the AI agents will produce error-free, accurate, or complete results. You acknowledge that AI-generated outputs may require human review and that you are solely responsible for how you use such outputs.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CODIMITE, ITS DIRECTORS, EMPLOYEES, PARTNERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless Codimite and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of the Services in violation of these Terms
• Your Content or any data you process through the platform
• Your violation of any applicable law or third-party rights
• Any unauthorized use of your account

14. Termination

Either party may terminate these Terms at any time. You may discontinue use of the Services and close your account by contacting us. We may suspend or terminate your access if:

• You breach any provision of these Terms
• We are required to do so by law
• We decide to discontinue the Services (with reasonable notice)

Upon termination, your right to use the Services will immediately cease. We will make your data available for export for a period of 30 days after termination, after which it may be deleted. Sections regarding intellectual property, limitation of liability, indemnification, and governing law will survive termination.

15. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Codimite (Pvt) Ltd is incorporated, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved through good-faith negotiation. If the dispute cannot be resolved amicably within 30 days, it shall be submitted to the exclusive jurisdiction of the courts in the applicable jurisdiction.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the “Last updated” date and notify you via email or through the CommandLyne platform. Your continued use of the Services following the posting of revised Terms constitutes your acceptance of the changes.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy and any separate enterprise agreements, constitute the entire agreement between you and Codimite regarding your use of the Services and supersede all prior agreements and understandings.
